*Terms of Use	1.877.eTravel 269 Mt Hermon Road, Suite 205 Scotts Valley, CA 95066 TRAVEL SERVICES AGREEMENT This Travel Services Agreement (the “Agreement”) is entered into by and between the person clicking to accept it or the person signing below (“Lodging Provider”) and Rent One Online, dba 877.eTravel (“877.eTravel”), as of the date of acceptance or the last date on the signature page, as applicable. BY CLICKING THE “I ACCEPT” BUTTON BELOW, LODGING PROVIDER IS EXPRESSLY CONSENTING TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. 877.eTravel enables lodging provider(s) to offer travel services to their guests (“Customers”). Travel services include car rentals, travel insurance, damage deposit waivers, and such other services (the “Travel Services”) as 877.eTravel may make available to Customers from third-party providers of Travel Services (“Travel Providers”). Travel Services can be purchased (i) by the Lodging Provider on behalf of its Customers via the 877.eTravel hosted online travel services software platform (“Service”), (ii) directly by Customers when they access the Service personal itinerary application via a link provided in an email to the Customer, or (iii) by the Lodging Provider or its Customers via 877.eTravel guest services call center (“Call Center”). Lodging Provider and 877.eTravel hereby mutually agree as follows: 1. Service and Call Center 1.1 Access to Service. The Service will be accessible (a) by Lodging Provider, from a 877.eTravel designated and authorized vacation rental management solution; (b) by Customer, from a link provided in an email to the Customer; (c) by Lodging Provider and/or Customer, from the Call Center as set forth in 1.2 below; or (d) by Customer, from the 877.eTravel Internet travel site, as available. 1.2 Access to Call Center. The Call Center will be accessible by the Lodging Provider and its Customers to purchase Travel Services by calling 1-877.eTravel. Lodging Provider hereby grants permission to 877.eTravel and its authorized Call Center representatives to offer and sell Travel Services to Customers via the Call Center and to access the information (including Confidential Information, as defined in Section 5 hereof) provided by Lodging Provider and/or Customer contained in the Service for the purpose of selling Travel Services. 1.3 Guidelines for Use: Lodging Provider shall use the Service and Call Center solely to provide Travel Services to its Customers and shall comply with all applicable local, state, federal, and foreign laws (including laws related to spamming and the transmission and storage of infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or violative of third-party privacy rights) in using the Service or accessing the Call Center.. Lodging Provider may not use the Service or the Call Center in any manner that is not expressly authorized in this Agreement. Without limiting the generality of the foregoing, Lodging Provider shall not (a) give any password to access the Service to any other person or let any other person use the Service; (b) misuse any of the Service or the Call Center in violation of this Agreement; (c) copy, reproduce, alter, modify, prepare derivative works based upon, any of the Service, or access the Service in order to (i) build a product or service that is competitive with the Service, (ii) build a product or service using similar ideas, features, functions or graphics of the Service; or (iii) copy any ideas, features, functions or graphics of the Service; (d) alter, modify, remove, deface or otherwise tamper with any legal or proprietary rights notices contained or displayed on the Service; (e) send or store material containing viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; (f) interfere with or disrupt the integrity or performance of the Service; (g) attempt to gain unauthorized access to the Service; (h) allow any person who has ever been convicted of a felony involving dishonesty or breach of trust to sell or market travel insurance or any other insurance product offered by 877.eTravel; or (i) allow, cause or authorize others to do any of the above. Lodging Provider shall promptly notify 877.eTravel of any unauthorized use of the Service or the Call Center and any other breach of security of which it becomes aware. 2. Parties’ Obligations. 2.1 Promotion of Travel Services. Lodging Provider will use commercially reasonable efforts to (a) inform its Customers properly concerning the features and benefits of the Travel Services, (b) promote and offer Travel Services to its Customers;, and (c) book Travel Services on behalf of its Customers. 2.2 Training. 877.eTravel will provide such telephonic and electronic training as it deems reasonably necessary to enable Lodging Provider’s staff to gain a level of proficiency in the Service and Call Center sufficient to carry out the obligations and responsibilities set forth in Section 2.1. 2.3 Expertise. Lodging Provider will ensure that its staff will have a reasonable understanding of the specifications, features and benefits of the Service and Call Center sufficient to be able to carry out the obligations and responsibilities set forth in Section 2.1. 2.4 Publicity. The parties shall use commercially reasonable efforts to promote each other, including promoting each other on the parties’ web sites, and in advertisements, articles, and other similar communications conducted by either party when appropriate. 2.5 Press Release. Promptly following the Effective Date, the parties may issue a joint press release, subject to each party’s prior written approval, announcing the business relationship established by this Agreement. Any additional press releases shall be subject to each party’s prior written approval. 2.6 Fees.. Lodging Provider may earn commissions and fees from the sale of Travel Services to Lodging Provider’s Customers (“Fees”). The applicable Fees and payment terms are as set forth on the website www.877.eTravel.com or as may be set forth in an order form provided by 877.eTravel or its authorized representatives to Lodging Provider (the “Form”). Fees may be updated by 877.eTravel from time to time upon thirty (30) days’ prior written notice. 2.7 Security Measures. Lodging Provider shall notify 877.eTravel in writing promptly upon learning that any person who has ever been convicted of a felony involving dishonesty or breach of trust has been selling or marketing travel insurance or any other insurance product offered by 877.eTravel. 877.eTravel will not engage in any insurance transaction that involves any individuals or entities appearing on the “Specially Designated Nationals and Blocked Persons” list or the Sanctioned Countries list, as those lists are amended from time to time by the U.S. Treasury Department’s Office of Foreign Assets Control. 3. Proprietary Rights. 3.1 Reservation of Rights: Lodging Provider acknowledges that any and all intellectual property rights, including, without limitation, patents, trade secrets, copyrights, trademarks, and service marks associated with the Service or Call Center, remain the sole and exclusive property of 877.eTravel or its licensors and that nothing in this Agreement constitutes a grant, assignment or transfer of any ownership right or interest in such intellectual property to Lodging Provider. 3.2 License Grants: 877.eTravel hereby grants to Lodging Provider a non-exclusive, non-transferable, non-sub-licensable, limited right and license during the term of this Agreement to access and use the Service solely to provide Travel Services as set forth in this Agreement. Lodging Provider grants to 877.eTravel a non-exclusive royalty-free, worldwide, perpetual license to use Lodging Provider’s name and trademarks in any promotional materials, including, future advertising and promotional publications and as part of its list of customers. Each party grants to the other a non-exclusive royalty-free, worldwide license during the term of this Agreement to use its name and trademarks in furtherance of the obligations set forth in Sections 2.1 and 2.4. 4. Confidentiality. Neither party shall disclose or use any information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including the terms and conditions of this Agreement (including pricing and other terms reflected in all Forms hereunder), 877.eTravel business and marketing plans, technology and technical information, business processes , and customer information (“Confidential Information”) of the other party for any purpose outside the scope of this Agreement and each party agrees to protect the confidentiality of the Confidential Information of the other party in the same manner that it protects the confidentiality of its own proprietary and confidential information of like kind, but in no event shall either party exercise less than reasonable care in protecting the Confidential Information. 5. Warranties & Disclaimers. THE SERVICE AND CALL CENTER ARE PROVIDED “AS IS” AND 877.ETRAVEL DOES NOT MAKE, AND DOES HEREBY DISCLAIM, ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICE OR THE CALL CENTER, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF NON-INFRINGEMENT AND TITLE, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, 877.ETRAVEL DOES NOT WARRANT THAT THE SERVICE, OR THE OPERATION OF THE SERVICE OR ANY WEB SERVER OR RELATED SERVICES, OR CALL CENTER WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. FURTHERMORE, 877.ETRAVEL DOES NOT MAKE, AND DOES HEREBY DISCLAIM, ANY WARRANTIES WHATSOEVER REGARDING THE PROVISION OF SERVICES OR CALL CENTER OR ANY OTHER ACT OR OMISSION BY TRAVEL PROVIDERS RETAINED THROUGH THE TRAVEL SERVICES. 6. Indemnification. Lodging Provider agrees to release, indemnify and hold 877.eTravel harmless from and against, and to reimburse 877.eTravel with respect to, any and all losses, damages, liabilities, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees and costs of investigation) of every nature whatsoever incurred by 877.eTravel arising out of or in connection with (a) any breach of this Agreement (or any representation or warranty) by Lodging Provider; (b) the services provided, or failure to provide services, by Provider; (c) illegal, libelous, or defamatory content submitted by Lodging Provider to the Service; (d) any act or omission of Lodging Provider or its employees, agents, representatives or customers; and (e) any claim against 877.eTravel by any customer or potential customer of Lodging Provider. 7. Limitation of Liability. 7.1 Limitation of Liability. IN NO EVENT SHALL 877.ETRAVEL’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED THE AMOUNTS ACTUALLY RECEIVED BY LODGING PROVIDER DURING THE TWELVE (12)-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY. 7.2 No Consequential Damages: IN NO EVENT SHALL 877.ETRAVEL BE LIABLE TO LODGING PROVIDER OR ANY CUSTOMER OF LODGING PROVIDER FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST REVENUE, LOST PROFITS, LOST SAVINGS, LOSS OF BUSINESS OR OPPORTUNITY, DELAYS, DELIVERY FAILURES OR LOSS OF USE OR DATA, EVEN IF 877.ETRAVEL IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER UNDER THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE. 8. Term & Termination. This Agreement commences on the Effective Date and will continue in effect for month to month. unless terminated (a) by a party’s breach of this Agreement and failure to cure such breach within fifteen (15) days after receipt of written notice thereof from the non-breaching party or (b) by either party with thirty (30) days’ written notice to the other party. In the event that this Agreement expires or is terminated, all rights and licenses granted hereunder shall immediately cease and terminate. All provisions of this Agreement that by their nature are intended to survive the expiration or termination of this Agreement shall so survive. Without limiting the generality of the foregoing, the provisions of Sections 4, 5, 6, 7, 8, and 9 of this Agreement (including all definitions pertaining thereto) shall survive any expiration or termination of this Agreement. 9. General Provisions. 9.1 Relationship of the Parties. Nothing in this Agreement shall be construed to place the parties in the relationship of legal representatives, partners, joint ventures or agents of or with each other. Neither party shall have any right or power to obligate or bind any of the other party in any manner whatsoever. 9.2 No Assignment. This Agreement may not be assigned by Lodging Provider without the prior written consent of 877.eTravel, except in the event of a merger, consolidation or reorganization of Lodging Provider or as a part of the sale and conveyance of all or substantially all of the assets of the Lodging Provider. 9.3 Notices. Any notice or communication required or permitted to be given hereunder may be delivered by hand, deposited with an overnight courier, sent by email or facsimile, or mailed by registered or certified mail, return receipt requested, postage prepaid, to the address of the receiving party herein, or at such other address as may hereafter be furnished in writing by either party to the other. Such notice shall be deemed to have been given as of the date it is delivered, mailed or sent, whichever is earlier. 9.4 Entire Agreement. This Agreement constitutes the entire agreement between 877.eTravel and Lodging Provider with respect to the subject matter hereof and supersedes all prior understandings, communications and agreements, written or oral, between them with respect thereto. This Agreement may be amended or modified by 877.eTravel upon providing 30 days’ written notice to Lodging Provider. 9.5 Severability. If any provision of this Agreement is held by any court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be deemed modified in such manner as to render such provision valid, legal, and enforceable to the fullest extent permitted by law in such jurisdiction. The remaining provisions of this Agreement shall not be affected thereby, and shall continue in full force and effect. 9.6 Governing Law. This Agreement shall be governed by the laws of California, without regard to its conflict of laws rules. 9.7 Venue. The state and federal courts located in San Francisco County, California shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to this Agreement. Each party hereby consents to the exclusive jurisdiction of such courts. Each party also hereby waives any right to jury trial in connection with any action or litigation in any way arising out of or related to this Agreement. IN WITNESS WHEREOF, the parties’ authorized signatories have duly executed this Agreement as of the Effective Date.
